Contract mechanics,
proofread on your Mac.
Section 9 is cited, but there is no Section 9. A term is defined twice. The signature block names a different company than the preamble. OhmsCounsel finds slips like these with fixed rules and opens the exact passage of each one.
Checks document mechanics only. Not legal advice.
Open a PDF, DOCX, plain-text, or Markdown agreement and choose Verify Agreement from the Review menu (Command-R). OhmsCounsel checks defined terms, definition pointers, section numbering, cross-references, exhibits and schedules, party names, number words, and renewal notice periods, then lets you confirm, reject, annotate, and export the result as Markdown or PDF. The rules read English-language drafting.
AI summaries, clause playbooks, draft comparison, document chat, and the optional cloud key are no longer part of OhmsCounsel, and there is no model to download. Summaries, risk flags, playbook comparison, and clause-level redlines live in a Legal / Contracts vault in Silo Vault, alongside cited answers across your documents.
Drafts break at
the mechanics.
A renumbered clause leaves a reference pointing nowhere. A party's name changes between the first page and the last. Thirty days becomes (60). A tired read can miss slips like these, and they follow patterns a fixed rule can check, on the Mac where the agreement already lives.
Fixed rules, run on your Mac.
Every check is a fixed rule that runs in a private helper on this Mac, with no AI model to download and no internet request. The same text always gives the same findings.
Every finding at its passage.
Selecting a finding opens the source text it came from, with the page when the PDF keeps page breaks. You judge each slip in context instead of trusting a summary of it.
Your judgment stays yours.
Confirm or reject each finding and save a reviewer note. Your wording stays labeled apart from the automated text, and the imported file is never changed. OhmsCounsel checks mechanics; it is not legal advice.
Current tools.
Defined terms.
Quoted terms used but never defined, defined twice, defined and never used, or capitalized inconsistently. Parenthetical definitions such as (the “Agreement”) count as definitions.
Definition pointers.
“As defined in Section 4.2” pointers that lead to a section which does not actually define the term.
Section numbering.
Section numbers that skip, repeat, run out of order, or lack a parent section. Exhibits and schedules keep their own numbering.
Cross-references.
References to sections, exhibits, schedules, or annexes that do not exist, and attachments nothing in the agreement refers to.
Party names.
A party whose name changes between the preamble, the body, and the signature block, including near-miss spellings.
Numbers & notice.
Amounts whose words and digits disagree, such as “thirty (60) days”, and renewal notice periods longer than the renewal term.
Confirm, reject, note.
Decide each finding and save a reviewer note in your own words. Notes stay labeled separately from the automated finding.
Reviewed report.
Save findings, decisions, and notes as Markdown or PDF to the folder you choose. The report carries a not-legal-advice notice.
Sample NDA.
The bundled sample NDA carries one of each defect and opens straight into Verify, so every kind of finding appears before your own agreement.
Local purge.
Deleting an agreement removes its imported file, extracted text, page map, decisions, and notes after you confirm. A report you saved to your own folder is left alone.

OhmsCounsel collects nothing, and Silo Systems runs no server. The current version makes no internet requests; earlier versions, including 1.8.1, could send document text to a provider you configured with your own key.

Questions.
Not to Silo Systems, which runs no server. OhmsCounsel makes no internet requests: import, text extraction, every check, your decisions and notes, and report export all happen on your Mac, in a private helper that listens only on this Mac. There is no account, no analytics, and no telemetry. Earlier versions, including 1.8.1, also offered an optional Bring Your Own Key mode that sent document text, questions and playbook positions directly from your Mac to the provider you configured, plus an optional model download and model-catalog check that carried none of your documents.
Fixed rules report quoted terms that are used but never defined, defined twice, defined and never used, or capitalized inconsistently; “as defined in Section 4.2” pointers that lead to a section which does not define the term; section numbers that skip, repeat, run out of order, or lack a parent section; references to sections, exhibits, schedules, or annexes that do not exist, and attachments nothing refers to; party names that change between the preamble, the body, and the signature block; amounts whose words and digits disagree; and renewal notice periods longer than the renewal term. No. Every check is a fixed rule, so the same text always gives the same findings and there is nothing to download. Earlier versions offered model-based summaries, clause playbooks, draft comparison, document chat, and an optional cloud key. Those are gone, and when the current version starts it deletes the model files and stored provider keys earlier versions left on this Mac. Summaries, risk flags, playbook comparison, and clause-level redlines are in a Legal / Contracts vault in Silo Vault.
PDF, DOCX, plain text, and Markdown. The rules read English-language drafting. A scanned PDF needs a selectable text layer; if a PDF has none, export it with a text layer or import the DOCX or text version.
Select it to open the exact passage it came from, with the page when the PDF keeps page breaks. Confirm or reject it and save a reviewer note if you like: your wording is kept apart from the automated finding, and the imported file is never changed. Save the reviewed report as Markdown or PDF to the folder you choose.
Yes. Choose Try a sample NDA. The bundled sample carries one of each defect and opens straight into Verify, so you can see every kind of finding first.
No. OhmsCounsel checks document mechanics such as defined terms, numbering, and references. It is not legal advice, does not create an attorney-client relationship, and does not tell you whether a contract is fair or complete.
Yes. Deleting an agreement in Import removes its imported file, extracted text, page map, decisions, and notes after an explicit confirmation. A report you saved to a folder of your choosing is never deleted by the app.
